School Board has great influence on the American public school systems. The detailed codes of ethics ensured the exertion of school board member as a whole and the rights of each member. The article tries to analyze the code of ethics of American school board members in four aspects including the reason to constitute the code of ethics， the institutions to constitute the code of ethics， the principles in constituting the code of ethics and the code of ethics in decision-making.
